1. General Provisions
This Public Offer (hereinafter – the Offer) is an official proposal by Individual Entrepreneur Denys Pavlovych Kovalenko (hereinafter – the Seller) to conclude a purchase and sale agreement for goods presented on the website under the terms set forth below.
Pursuant to Articles 633 and 641 of the Civil Code of Ukraine, this Offer is a public contract, the terms of which are identical for all buyers regardless of their status.
Placing an order on the website signifies the Buyer’s full and unconditional consent to the terms of this Offer. The contract is considered concluded from the moment the “Place Order” or “Confirm Payment” button is clicked.
2. Definition of Terms
Seller – IE Kovalenko Denys Pavlovych, an individual entrepreneur registered in accordance with the legislation of Ukraine.
Buyer – a physical or legal entity placing an order on the website.
Website – the online store located at: www.caspitfruits.com.
Product – products under the “Naisik” trademark and other goods presented in the website catalog.
Order – the Buyer’s request to purchase goods, submitted via the website.
Contract – the purchase and sale agreement between the Seller and the Buyer.
3. Subject of the Contract
The Seller undertakes to transfer ownership of the goods to the Buyer, and the Buyer undertakes to accept and pay for the goods under the terms of this Offer.
The product range is presented on the website. The Seller has the right to unilaterally change the product range; however, such changes do not affect orders already placed and paid for.
4. Ordering Procedure
4.1. How to Place an Order
To place an order, the Buyer must:
Select a product from the catalog and add it to the cart.
Proceed to checkout.
Fill in contact information (Full name, phone, email).
Choose a delivery method (Nova Poshta branch or courier).
Choose a payment method (online payment via WayForPay or cash on delivery).
Confirm the order by clicking the corresponding button.
4.2. Order Confirmation
After placing the order, the Buyer receives:
An SMS message with the order number.
An email with order details.
A call from a manager to clarify details (within the business day).
4.3. Changing or Canceling an Order
The Buyer has the right to change or cancel an order until the moment of shipment. To do so, please contact the Seller:

Once the order has been shipped via Nova Poshta, cancellation is only possible in accordance with Nova Poshta rules and the Seller’s Return Policy.
5. Prices and Payment
5.1. Product Prices
Prices are indicated in Ukrainian Hryvnia (UAH) including VAT.
The Seller reserves the right to change prices unilaterally. Price changes for an ordered item are not permitted after the order has been confirmed by the Seller.
The price on the website may differ from the price at retail points of sale. The price indicated on the website at the time of ordering is the valid one.
5.2. Delivery Costs
The cost of Nova Poshta delivery is calculated automatically via API integration and depends on:
The weight and dimensions of the order.
The delivery destination (recipient’s city).
The type of delivery (to a branch or address courier).
Current rates of JSC “Nova Poshta” at the time of shipment.
The exact delivery cost is displayed during checkout. Delivery payment is made according to the selected payment method (together with the goods or upon receipt).
5.3. Payment Methods
Online payment by bank card via WayForPay:
Payment is made on the secure page of the WayForPay payment system.
Visa, MasterCard, and Prostir cards are accepted.
The payment system is certified according to the PCI DSS standard.
An electronic receipt is sent to the email after successful payment.
Orders are shipped on the day of payment or the next business day.
Cash on delivery (Payment upon receipt):
Payment is made in cash at the Nova Poshta branch upon receipt.
Partial payment at checkout with the remainder upon receipt is possible.
The Buyer has the right to inspect the goods before payment (without opening the packaging).
In case of refusal at the branch, the Buyer pays the delivery costs.
Non-cash settlement for legal entities:
Payment based on an invoice and a supply agreement.
All necessary accounting documents are provided.
Shipment occurs after funds reach the settlement account.
6. Delivery
6.1. Delivery Zones
The Seller delivers goods throughout Ukraine via JSC “Nova Poshta.”
6.2. Delivery Times
Preparation for shipment: 1-2 business days from the moment of order confirmation and payment (for prepayments).
Nova Poshta delivery: According to the rates and terms of JSC “Nova Poshta” (usually 1-3 days).
Storage period at the branch: 5 business days from the moment the parcel arrives.
Delivery times may increase during holidays, weekends, or due to reasons beyond the Seller’s control (force majeure, carrier delays).
6.3. Delivery Methods
Delivery to a Nova Poshta branch:
The Buyer selects a convenient branch through the API integration on the website.
After shipment, the Buyer receives an SMS with the express waybill (TTN) number.
Parcel tracking is available on the Nova Poshta website and in the personal account.
The Buyer receives an SMS from Nova Poshta regarding arrival at the branch.
Nova Poshta address courier delivery:
The Buyer provides the exact delivery address during checkout.
The courier contacts the Buyer to coordinate a convenient time.
The cost of courier delivery is calculated automatically during checkout.
6.4. Receiving the Order
Upon receiving the order, the Buyer is obliged to:
Present a document proving identity (passport).
Inspect the external appearance of the packaging for damage.
If damage is found – draw up a damage report in the presence of a Nova Poshta employee.
After payment and receipt, check the completeness and quality (without breaking the packaging).
Warning! Refusal to draw up a damage report or accepting the parcel without inspection means that claims regarding the external appearance and completeness of the goods will not be accepted.
6.5. Failure to Comply with Delivery Terms
If the Buyer does not collect the order within the storage period at the Nova Poshta branch (5 days), the parcel is returned to the Seller. In this case:
If the order was paid for – funds are returned minus delivery costs both ways.
If the order was not paid for – the Buyer pays the return delivery costs.
7. Rights and Obligations of the Seller
7.1. The Seller is obliged to:
Provide the Buyer with reliable information about the product.
Transfer goods of proper quality to the Buyer in accordance with the order.
Ensure shipment within the agreed timeframe.
Provide all necessary documents (invoice, receipt).
Ensure the confidentiality of the Buyer’s personal data.
Accept and review the Buyer’s claims.
7.2. The Seller has the right to:
Unilaterally change the terms of this Offer by notifying on the website.
Refuse to process an order in case of unreliable data or suspicion of fraud.
Change product prices until the moment of order confirmation.
Suspend order execution until the Buyer’s data is clarified.
Refuse an order if the product is out of stock.
8. Rights and Obligations of the Buyer
8.1. The Buyer is obliged to:
Familiarize themselves with the terms of this Offer before placing an order.
Provide reliable personal information when ordering.
Timely pay for and receive the order.
Inspect the goods for conformity and quality upon receipt.
Notify the Seller of any discovered defects as soon as possible.
8.2. The Buyer has the right to:
Place orders on the website 24/7.
Receive full and reliable information about the product.
Refuse an order before its receipt.
Return or exchange goods in accordance with the Return Policy.
Demand proper product quality and compliance with expiration dates.
Protect their rights in accordance with current Ukrainian legislation.
9. Product Quality and Guarantees
9.1. Product Characteristics
The Seller guarantees that the product:
Matches the description provided on the website.
Is of proper quality and fit for consumption.
Has an expiration date of at least 50% of the total shelf life at the time of shipment.
Is packaged according to transportation and storage requirements.
Has all necessary quality certificates (ISO, IFS).
Is manufactured in compliance with sanitary and hygienic norms.
9.2. Product Information
Information on the website (photos, descriptions, characteristics) is for reference and may differ from the actual product. The Seller is not responsible for minor differences between the actual product and the image on the website.
9.3. Product Availability
Availability information on the website is updated in real-time but is not a public offer. Final confirmation of availability is provided by the manager after the order is placed.
10. Returns and Exchanges
Terms for returns and exchanges are detailed in the separate “Return Policy” document, which is an integral part of this Offer.
Key provisions:
Returns of proper quality food products are limited by law.
Returns of improper quality goods are possible within the expiration date.
Claim review period – 7-14 business days.
Refunds – within 14 business days after receiving the returned goods.
11. Confidentiality and Personal Data Protection
Conditions for the collection, processing, storage, and protection of the Buyer’s personal data are detailed in the separate “Privacy Policy” document, which is an integral part of this Offer.
By placing an order, the Buyer consents to:
Processing personal data for order fulfillment.
Transferring data to partners (Nova Poshta, WayForPay) for delivery and payment.
Receiving informational messages regarding order status.
12. Liability of the Parties
12.1. Seller’s Liability
The Seller is responsible for:
Product quality and compliance with characteristics.
Timely transfer of goods to the carrier.
Proper packaging for transportation.
Protecting the Buyer’s personal data.
The Seller is NOT responsible for:
Delivery delays caused by the carrier or force majeure.
Damage to goods during transportation (responsibility lies with the carrier).
Inaccurate or incomplete data provided by the Buyer.
The Buyer’s failure to receive the order through their own fault.
Technical failures on the website caused by third parties.
12.2. Buyer’s Liability
The Buyer is responsible for:
The accuracy of data provided during checkout.
Timely receipt and payment of the order.
Adherence to product storage conditions after receipt.
12.3. Limitation of Liability
The Seller’s maximum liability is limited to the value of the ordered goods and confirmed delivery costs.
13. Force Majeure
Parties are exempt from liability for full or partial failure to fulfill obligations if such failure is a result of force majeure circumstances, namely:
Natural disasters (earthquakes, floods, fires, etc.).
War, military actions, blockades.
Epidemics, quarantine restrictions.
Acts of state authorities.
Accidents in electricity or water supply systems.
Other circumstances arising independently of the parties’ will.
In case of force majeure, the affected Party must notify the other Party within 3 business days.
14. Dispute Resolution
All disputes and disagreements arising between the Parties shall be resolved through negotiations.
Pre-trial settlement procedure:
The Buyer sends a written claim to email: fruits@caspit.trade.
The Seller reviews the claim within 14 business days.
The Seller provides a written response with a decision or a plan to resolve the issue.
If an agreement is not reached through negotiations, the dispute is submitted to a court in accordance with current Ukrainian legislation.
The Buyer also has the right to contact:
The State Service of Ukraine for Food Safety and Consumer Protection.
Public organizations for consumer rights protection.
15. Term of the Contract and Changes to Terms
15.1. Term of the Contract
The contract enters into force from the moment the Buyer places an order and remains valid until the Parties have fully performed their obligations.
15.2. Changes to Terms
The Seller reserves the right to unilaterally amend this Offer.
Buyers are notified of changes by:
Publishing the new version on the website.
Email newsletters to registered users.
Changes take effect from the moment of publication on the website unless otherwise stated. The new version applies to orders placed after the changes take effect.
16. Miscellaneous
16.1. Promotions and Discounts
The Seller has the right to conduct promotions and provide discounts at its discretion. Terms are published on the website. Discounts and promotions do not stack unless otherwise specified.
16.2. Loyalty Program
The Seller may introduce loyalty programs for regular customers. Terms of participation are published on the website.
16.3. Intellectual Property
All website content (texts, images, logos, trademarks) is the intellectual property of the Seller or used with the permission of the copyright holders. Copying, distribution, or any other use of website materials without written permission is prohibited.
16.4. Feedback
Buyers may leave reviews about products and service quality. The Seller reserves the right to moderate reviews and delete those containing profanity, insults, or unreliable information.
